1. Agreement to Terms

By accessing or using the website at elmeris.com or any applications or services provided by Elmeris LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use our services.

Elmeris LLC is a limited liability company registered in Wyoming, USA, with a registered address at 30 N Gould St #43444, Sheridan, WY 82801, USA.

4. Mobile Applications

These Terms of Use apply to all Elmeris LLC mobile applications distributed via the Apple App Store, Google Play Store, and any other distribution channels. Additional terms specific to each application may be presented within those applications.

4.1 Apple App Store Applications

For applications downloaded from the Apple App Store, the following additional terms apply:

  • These terms are between you and Elmeris LLC only, not with Apple Inc.
  • Apple has no obligation to furnish maintenance or support services
  • Apple is not responsible for product liability claims or intellectual property infringement claims
  • Apple and its subsidiaries are third-party beneficiaries of these Terms

4.2 Google Play Applications

For applications downloaded from Google Play, these terms are between you and Elmeris LLC only. Google LLC is not a party to this agreement.

5. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELMERIS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES.

Our total liability to you for any claims arising from use of our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Elmeris LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorney’s fees) arising out of or relating to your violation of these Terms or your use of our services.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of such courts.

9. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page with a revised “Last updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.

11. Termination

We reserve the right to suspend or terminate your access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
